Terms of Use

Effective Date: September 1, 2026

These Terms of Service (the “Terms”) govern access to and use of the Rezoomex platform and related services (collectively, the “Services”) provided by Alphonso Informex Inc., a Delaware corporation doing business under the brand name Rezoomex (“Rezoomex,” “we,” “us,” or “our”).

Registered Office: 501 Silverside Road, Suite 105-4490, Wilmington, Delaware 19809, United States. Contact: team@rezoomex.com

By creating an account, accessing the Services, or using the Services, you agree to these Terms. If you accept these Terms on behalf of a company or other organization, you represent and warrant that you have authority to bind that entity.

  1. Eligibility and Account Registration

You must be legally capable of entering into a binding agreement to use the Services. You are responsible for providing accurate and complete information when creating an account and for keeping that information current.

You are responsible for maintaining the confidentiality of your account credentials and for all activity conducted through your account. You must notify Rezoomex promptly at team@rezoomex.com if you believe your account or credentials have been compromised.

  1. Subscription, Trial, and Renewal

Rezoomex offers subscription-based access to the Services. The applicable subscription price and billing frequency will be presented at checkout or in an applicable order form.

Unless otherwise stated at checkout, the standard Rezoomex subscription is US$50 per month. New customers receive a 14-day free trial. Payment information is collected at signup, and no subscription fee is charged during the trial period. Unless the subscription is canceled before the trial ends, the subscription will automatically convert to a paid monthly subscription at the price disclosed at checkout. The billing flow specifies the first charge at the end of the 14-day trial and monthly renewals thereafter.

By submitting payment information and completing checkout, you authorize Rezoomex and its payment processor to charge the payment method on file for the applicable subscription fees, including recurring charges, until the subscription is canceled or otherwise terminated.

Before completing signup, the checkout experience will present the material terms of the trial and recurring subscription, including the trial duration, applicable subscription price, and recurring billing terms. You should retain the confirmation and billing records made available to you at signup.

  1. Billing, Taxes, and Currency

Subscription fees are billed in advance for each billing period. Unless otherwise stated at checkout, prices are stated in U.S. dollars.

Where the payment processor offers a local-currency presentation, the currency and amount shown at checkout will govern the subscription. If a subscription is established in a local currency, future recurring charges may continue in that currency unless the payment processor or Rezoomex permits a change.

You are responsible for applicable taxes, duties, levies, or similar governmental charges arising from your purchase or use of the Services, excluding taxes based on Rezoomex’s net income.

Except where required by applicable law or expressly stated otherwise in writing, subscription fees are non-refundable and Rezoomex does not provide refunds or credits for partial billing periods.

  1. Payment Failures and Recovery

If a scheduled payment is unsuccessful, Rezoomex or its payment processor may retry the payment method on file and may contact you regarding the outstanding amount. Access may remain available during the payment recovery period.

If the amount remains unpaid after reasonable recovery efforts, Rezoomex may suspend or terminate the subscription. You remain responsible for fees properly incurred before suspension or termination.

  1. Cancellation

You may cancel a subscription through the Rezoomex billing portal or by contacting team@rezoomex.com. Rezoomex will provide a practical means to stop future recurring charges. Unless otherwise stated at checkout or in an applicable order form, cancellation will take effect at the end of the then-current billing period.

Cancellation does not relieve you of payment obligations for the period in which cancellation becomes effective. Nothing in these Terms limits any cancellation or refund rights that cannot lawfully be waived.

  1. Legacy Accounts and Complimentary Access

Users who had an active Rezoomex account before paid subscriptions were introduced may be placed into Rezoomex’s legacy transition program. Under the current program, legacy users receive an initial 60-day period of complimentary access.

Rezoomex will automatically extend the initial legacy period once for an additional 30 days. Additional extensions after the first extension are discretionary and may be granted based on account activity, product use, engagement, or other criteria determined by Rezoomex.

A legacy user will not be charged solely because complimentary access expires. To continue as a paying customer, the user must separately enter into a paid subscription and provide the payment information required at checkout.

If complimentary access expires and no further extension or paid subscription is in place, Rezoomex may pause access. A paused account will not be charged and will remain preserved for up to twelve (12) months unless the account is deleted at the user’s request or deletion is required sooner by applicable law.

  1. Use of the Services

Subject to these Terms, Rezoomex grants you a limited, non-exclusive, non-transferable, non-sublicensable right to access and use the Services during the applicable subscription or complimentary access period for your internal business or personal purposes.

You may not:

  • use the Services in violation of applicable law or regulation;
  • interfere with or disrupt the Services or related infrastructure;
  • attempt to gain unauthorized access to any account, system, network, or data;
  • introduce malicious code, viruses, or other harmful material;
  • reverse engineer, decompile, disassemble, or otherwise attempt to derive source code from the Services except to the extent expressly permitted by applicable law;
  • copy, reproduce, resell, sublicense, lease, distribute, or commercially exploit the Services without Rezoomex’s prior written authorization; or
  • use the Services to build, train, benchmark, or operate a competing product or service, except with Rezoomex’s prior written consent.
  1. Artificial Intelligence

The Services use artificial intelligence and machine learning technologies. AI-generated content, recommendations, analyses, summaries, classifications, and other outputs may be incomplete, inaccurate, outdated, or inappropriate for a particular purpose.

You are responsible for reviewing and independently evaluating outputs before relying on them, publishing them, sharing them, or using them to make decisions. Rezoomex does not represent or warrant that any AI-generated output is accurate, complete, reliable, or suitable for any particular use.

You remain solely responsible for decisions and actions taken using the Services and their outputs. The Services are not a substitute for professional advice where professional advice is appropriate.

  1. Customer Data

You retain all right, title, and interest in information, content, materials, and data that you submit to the Services (“Customer Data”).

You grant Rezoomex a limited, worldwide, non-exclusive right to host, store, reproduce, transmit, process, and otherwise use Customer Data solely as necessary to provide, maintain, secure, support, and improve the Services and to comply with applicable law.

You represent and warrant that you have all rights, permissions, notices, and legal authority necessary to provide Customer Data to Rezoomex and permit Rezoomex to process it as contemplated by these Terms.

Rezoomex will maintain commercially reasonable administrative, technical, and organizational safeguards designed to protect Customer Data. Where applicable, additional data processing obligations may be set out in a separate Data Processing Agreement.

  1. Privacy and Data Processing

Your use of the Services is also subject to the Rezoomex Privacy Policy, which describes how Rezoomex collects, uses, stores, and discloses personal information. The Privacy Policy is incorporated into these Terms by reference.

Where Rezoomex processes personal data on behalf of a business customer in a manner that requires additional contractual terms, the parties may enter into a Data Processing Agreement. In the event of a conflict between an applicable Data Processing Agreement and these Terms concerning data processing, the Data Processing Agreement will control for that subject matter.

  1. Intellectual Property

The Services and all related software, technology, interfaces, designs, documentation, trademarks, service marks, and other materials are owned by or licensed to Alphonso Informex Inc. and are protected by applicable intellectual property laws.

Except for the limited rights expressly granted under these Terms, no license or other rights are granted to you, whether by implication, estoppel, or otherwise. Rezoomex retains all right, title, and interest in and to the Services and its underlying technology and intellectual property.

  1. Feedback

If you provide suggestions, ideas, recommendations, or other feedback regarding the Services, you grant Rezoomex a perpetual, irrevocable, worldwide, royalty-free, sublicensable right to use, reproduce, modify, distribute, and otherwise exploit that feedback without compensation or attribution to you.

  1. Third-Party Services

The Services may integrate with or rely upon third-party applications, APIs, infrastructure providers, payment processors, model providers, or other services. Your use of a third-party service may be subject to that provider’s separate terms and privacy policies.

Rezoomex is not responsible for the availability, performance, security, or functionality of third-party services outside Rezoomex’s reasonable control.

  1. Confidentiality

Each party may receive non-public or confidential information from the other party in connection with the Services. Each party agrees to use reasonable care to protect confidential information and to use it only as necessary to perform or receive the Services.

Confidential information does not include information that is or becomes publicly available without breach of an obligation of confidentiality, was already lawfully known, is independently developed without use of the other party’s confidential information, or is lawfully obtained from a third party without a confidentiality obligation.

A party may disclose confidential information where required by law, provided that, to the extent legally permitted, it gives the other party reasonable notice and cooperates in seeking confidential treatment.

  1. Service Availability

Rezoomex will use commercially reasonable efforts to maintain the availability of the Services. The Services may be unavailable from time to time due to scheduled or emergency maintenance, updates, technical issues, third-party dependencies, or circumstances beyond Rezoomex’s reasonable control.

Rezoomex does not warrant that the Services will be uninterrupted, available at all times, secure against every possible threat, or completely error-free.

  1. Suspension and Termination

Rezoomex may suspend or terminate your access to the Services if you materially breach these Terms, fail to pay amounts due, engage in prohibited conduct, or create a security, legal, or operational risk to Rezoomex, the Services, or other users.

Where reasonably practicable, Rezoomex will provide notice before suspension or termination. Rezoomex may suspend access immediately where necessary to address an urgent security, legal, or operational risk.

Upon termination, your right to access and use the Services will cease. Provisions that by their nature should survive termination, including payment obligations, intellectual property, confidentiality, disclaimers, limitations of liability, indemnification, and governing law, will survive.

  1. Data Retention and Deletion

For paid or trial accounts, Customer Data may be retained for a reasonable period following cancellation or termination to permit account administration, legal compliance, security, dispute resolution, and other legitimate business purposes. Unless a different period is required by law or stated in an applicable agreement, Rezoomex may delete such Customer Data twelve (12) months after termination.

For legacy accounts whose complimentary access is paused, the account and associated data may be preserved for up to twelve (12) months from the date access is paused. A user may request permanent deletion by contacting team@rezoomex.com. Rezoomex may require reasonable verification before processing a deletion request.

Deletion may be subject to legal retention obligations, backup cycles, fraud prevention requirements, or other legitimate and documented reasons permitted by applicable law.

  1. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS.

REZOOMEX DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

REZOOMEX DOES NOT WARRANT THAT THE SERVICES WILL MEET YOUR REQUIREMENTS, OPERATE WITHOUT INTERRUPTION OR ERROR, OR PRODUCE ANY PARTICULAR BUSINESS, FINANCIAL, OR OTHER RESULT.

  1. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, REZOOMEX WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, BUSINESS, GOODWILL, DATA, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATED TO THE SERVICES OR THESE TERMS.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, REZOOMEX’S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO REZOOMEX FOR THE SERVICES DURING THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM OR (B) US$100.

Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited, including liability for fraud or willful misconduct where such limitation is prohibited by applicable law.

  1. Indemnification

You agree to defend, indemnify, and hold harmless Alphonso Informex Inc., Rezoomex, and their officers, directors, employees, contractors, and agents from and against third-party claims, damages, liabilities, losses, costs, and reasonable attorneys’ fees arising from or relating to your unlawful use of the Services, your Customer Data, your violation of these Terms, or your violation of a third party’s rights.

  1. Changes to the Services

Rezoomex may modify, enhance, suspend, or discontinue features or functionality of the Services from time to time. Rezoomex will use commercially reasonable efforts to avoid materially reducing the core functionality of the Services during an active paid subscription period.

  1. Changes to Pricing

Rezoomex may change subscription pricing from time to time. Any pricing change applicable to an existing paid subscription will be communicated in advance and will take effect for a subsequent billing period. Your continued use of the Services after the new price becomes effective constitutes acceptance of the revised price.

  1. Changes to These Terms

Rezoomex may update these Terms from time to time. If we make material changes, we may notify you by email, through the Services, or by other reasonable means. The updated Terms will become effective on the stated effective date. Your continued use of the Services after that date constitutes acceptance of the updated Terms, to the extent permitted by applicable law.

  1. Governing Law and Venue

These Terms will be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of laws principles, except to the extent applicable law requires otherwise.

To the extent permitted by applicable law, any dispute arising out of or relating to these Terms or the Services will be brought exclusively in the state or federal courts located in Delaware, and each party consents to the jurisdiction of those courts. Nothing in this section limits any mandatory rights or protections that apply to a consumer under the law of the consumer’s jurisdiction.

  1. General

These Terms, together with the Rezoomex Privacy Policy and any applicable order form or subscription agreement, constitute the entire agreement between you and Alphonso Informex Inc. with respect to the Services and supersede prior or contemporaneous agreements concerning the same subject matter.

If any provision of these Terms is held invalid or unenforceable, that provision will be enforced to the maximum extent permitted by law and the remaining provisions will remain in full force and effect.

No waiver of any provision of these Terms will be effective unless made in writing. You may not assign or transfer these Terms without Rezoomex’s prior written consent. Rezoomex may assign these Terms in connection with a merger, acquisition, corporate reorganization, or sale of substantially all of its assets.

Nothing in these Terms creates a partnership, joint venture, agency, fiduciary, or employment relationship between you and Rezoomex.
